The annual meeting is held for the purpose of electing board members, reporting to the membership of the activities of the cooperative, and any other business that may come before the meeting.

Annual Meeting Summary 2024

The 76th Annual Meeting Of The Members Of Niobrara Valley E.M.C. Held March 4, 2024

The Seventy-Sixth Annual Meeting of the Niobrara Valley Electric Membership Corporation was held at the Community Center in O’Neill, Nebraska on March 4, 2024. Present at the meeting were 96 members, 12 members represented by proxy and 15 guests.

Directors, retired directors and employees, and special guests were introduced.

The board officers waived their reports since they were printed in the Annual Meeting Notice.

Mr. Givens requested that the manager, Mr. Matt Fritz, give his annual report. Mr. Fritz gave his report and then responded to questions regarding the proposed by-law amendment to increase the number of terms a director may serve.

President Givens then requested a motion and second from the floor to approve the proposed by-law amendment changing the term limit from 4 three-year terms to 6 three-year terms. A motion and second were given. Attorney, Mr. Peetz, then called for a hand vote of the members present and stated that if the hand vote was close, paper ballots would be distributed. The by-law amendment passed by a majority vote.

Mr. DeKay requested a motion to amend the meeting agenda to move the Election of the Directors to the next item of business.

Four directors’ terms were up for election. The results of the director election were reported to the meeting as follows:

District #1 – West Boyd Area Kelly Bendig Incumbent – 92, Skye Higgins Incumbent – 86, Debora Vogt – 32
(Vote for 2)

District #2 – East Boyd Area Aaron Holz Incumbent – 89, Jess Widstrom – 19

District #6 – Chambers Area Jerry Childers Incumbent – 64, Michael Wood – 19, Brian Duba – 21

District #7 – Atkinson-Amelia Area Jake Dvorak Incumbent – 83, Alan Estes – 23

Mike Givens stated the Secretary’s report needed to be approved. Roger Ruda suggested a motion could be made to waive the reading of the report since it was printed in the Annual Meeting Notice. A motion was made and seconded.

Mr. DeKay then asked for any old business. There was no old business.

Mr. DeKay asked if there was any new business. There was no new business.

Fifteen $50.00 Free Electricity Certificates were awarded to the following members present at the meeting:

Bette Bates, Karen Havranek, Jim Ramm, Tom Schaaf, Joe Pongratz, Michael Wood, Kevin Judge, Todd Nelson, Harvey Colfack, Ralph Metschke, Alan Estes, David Pongratz, Carol Olson, Dean Seger and Keith Mayer.

The winner of the $200 Free Electricity Grand Prize: Randy Lund

The attendance prize of $200 free electricity was drawn from the entire membership. The member drawn was not present so next year’s prize will increase to $300 free electricity.

At the conclusion of there being no additional business from the floor, the meeting was adjourned at 3:01 P.M.

The 75th Annual Meeting Of The Members Of Niobrara Valley E.M.C. Held March 6, 2023

The Seventy-Fifth Annual Meeting of the Niobrara Valley Electric Membership Corporation was held at the Community Center in O’Neill, Nebraska on March 6, 2023. Present at the meeting were 99 members,4 members represented by proxy and 16 guests.

Directors, retired directors and employees, and special guests were introduced.

A plaque presentation was made to retiring directors, Kelly Cameron (12 years of service) and Ernie Eilers (10 years of service). Both directors were thanked for their many years of service to Niobrara Valley Electric.

The board officers waived their reports since they were printed in the Annual Meeting Notice.

Mr. DeKay requested a motion to amend the meeting agenda to move the Election of the Directors to the next item of business.

One director’s term was up for election. The results of the director election were reported to the meeting as follows:

District #11 – Verdel Area Perry DeKay Incumbent – 78, Brad Mahon – 23

General Manager, Matt Fritz gave the yearly report on the Cooperative. Mr. Fritz then responded to several questions on various topics in his report.

Mr. DeKay then asked for any old business. There was no old business.

There was no other new business brought before the meeting.

Fifteen $75.00 Off Electricity Certificates were awarded to the following members present at the meeting:

The Seventy-Fourth Annual Meeting of the Niobrara Valley Electric Membership Corporation was held at the Community Center in O’Neill, Nebraska on March 7, 2022. Present at the meeting were 92 members,11 members represented by proxy and 19 guests.

Directors, retired directors and employees, and special guests were introduced.

The board officers waived their reports since they were printed in the Annual Meeting Notice.

Mr. Givens requested a motion to amend the meeting agenda to move the Election of the Directors to the next item of business.

Four director terms were up for election. The results of the director election were reported to the meeting as follows:

District #2 – Spencer Area Ernie Eilers Incumbent – 54, Daniel Ohri – 44

District #4 – Bristow Area Roger Ruda Incumbent – 53, Luke Mahlendorf – 45

District #7 – O’Neill Area Mike Givens Incumbent – 80, Joe Jeffrey – 18

District #10 – Stuart Area Dan Kohle Incumbent – 72, Jeff Dvorak – 29

General Manager, Matt Fritz gave the yearly report on the Cooperative. Mr. Fritz then responded to several questions on various topics in his report, including the new AMI meters, electromagnetic pulses and voltage monitoring.

Mr. Givens then asked for any old business. There was no old business.

New business was the next item on the agenda. Mr. Givens reported on the proposed by-law amendment that appeared in the Annual Meeting notice. The proposed amendment would change the number of directors for the cooperative from 11 to 9 with new boundaries designated for 7 districts. Mr. Givens and Mr. Peetz responded to questions that were asked regarding the proposed amendment. Mr. Peetz stated that a roll call vote could be taken on the proposed amendment rather than a ballot vote. A motion was made by Jake Dvorak and seconded by Skye Higgins to proceed with a roll call vote. This motion passed. A roll call vote of the members present at the meeting was then taken and the proposed by-law amendment passed.

There was no other new business brought before the meeting.

The Seventy-Third Annual Meeting of the Niobrara Valley Electric Membership Corporation was held at the Community Center in O’Neill, Nebraska on March 1, 2021. Present at the meeting were 91 members, 6 members represented by proxy and 23 guests.

Directors, retired directors and employees, and special guests were introduced.

The board officers waived their reports since they were printed in the Annual Meeting Notice.

Mr. Givens requested a motion to amend the meeting agenda to move the Election of the Directors to the next item of business.

Five director terms were up for election. The results of the director election were reported to the meeting as follows:

District #1 – Naper Area Skye Higgins Incumbent – 72, Lee Cadwallader – 19

District #3 – Butte Area Ronald Atkinson – 43, Kelly Bendig – 48

General Manager, John Hoke gave the yearly report on the Cooperative.

Mr. Givens then addressed the Board Re-Districting issue under old business. Due to the COVID restrictions on meeting attendance in 2020, the board delayed taking any action at this time. There was no other old business.

The Seventy-Second Annual Meeting of the Niobrara Valley Electric Membership Corporation was held at the Knights of Columbus Hall in O’Neill, Nebraska on March 2, 2020. Present at the meeting were 92 members, 6 members represented by proxy and 23 guests.

Directors, retired directors and employees, and special guests were introduced.

The board officers gave their reports.

General Manager, John Hoke gave the yearly report on the Cooperative.

Mr. Givens then asked for any old business. A member asked what the status was of redistricting that was discussed at last year’s meeting. Mr. Givens reported that no action had been taken but the topic will be discussed further at future board meetings. Discussion then followed on memberships and the eligibility requirements to run for the board of directors and term limitations.

There was no new business brought before the meeting.

President, Mike Givens then presented a plaque to Mr. Forrest Peetz. Mr. Peetz was recognized for his 40 years of service as the corporation’s attorney.

The 68th Annual Meeting Of The Members Of Niobrara Valley E.M.C. Held March 7, 2016

The Sixty-Eighth Annual Meeting of the Niobrara Valley Electric Membership Corporation was held at the Knights of Columbus Hall in O’Neill, Nebraska on March 7, 2016. Present at the meeting were 121 members, 14 members represented by proxy and 25 guests.

Directors, retired directors and employees, and special guests were introduced. The board officers gave their reports.

General Manager, John Hoke gave the yearly report on the Cooperative.

There was no old business brought before the meeting.

New business included addressing the current voting process for electing board members. Mr. Jim Ramm would like to see everyone who has a meter be able to vote and not just those present at the annual meeting. He would like the board to be able to develop a committee to research the cost and feasibility of going to a mail-in ballot. Mr. Forrest Peetz explained that a by-law change would be required to change the voting process. A motion was made by Mr. Jim Ramm to have the board develop a committee. Mr. Neil Tompkins seconded the motion. A vote was taken of the membership present, the motion failed.

The Sixty-Seventh Annual Meeting of the Niobrara Valley Electric Membership Corporation was held at the Knights of Columbus Hall in O’Neill, Nebraska on March 2, 2015. Present at the meeting were 136 members, 16 members represented by proxy and 49 guests.

Directors, retired directors and employees, and special guests were introduced. The board officers gave their reports.

President, Tom Krysl, then presented a plaque to two directors going off the board. Mr. Kelly Vogt was recognized for his 12 years of service as a member of the board of directors. Mr. Casey Heiser was recognized for serving 3 years as a board member, with two of those years as the Treasurer. President Krysl thanked both for their dedicated service to the cooperative.

General Manager, John Hoke gave the yearly report on the Cooperative.

The Sixty-Sixth Annual Meeting of the Niobrara Valley Electric Membership Corporation was held at the Knights of Columbus Hall in O’Neill, Nebraska on March 3, 2014. Present at the meeting were 125 members, 21 members represented by proxy and 32 guests.

Directors, retired directors and employees, and special guests were introduced. The board officers gave their reports.

Vice President, Tom Krysl, then presented a plaque to President, Barry DeKay whose terms is expiring. President DeKay has served as director for 15 years from 1999 to 2014. During his term he served as Vice President for 5 years and as President for 8 years. Mr. Krysl thanked President DeKay for his dedicated service to the cooperative.

General Manager, John Hoke gave the yearly report on the Cooperative.

The Sixty-Fifth Annual Meeting of the Niobrara Valley Electric Membership Corporation was held at the Knights of Columbus Hall in O’Neill, Nebraska on March 4, 2013. Present at the meeting were 125 members, 21 members represented by proxy and 32 guests.

Directors, retired directors and employees, and special guests were introduced. The board officers gave their reports.

President DeKay then presented a plaque to three directors whose terms are expiring and one director who is not seaking another term. Mr. Gene Chohon for 12 years of service, Mr. Mark Heiser for 12 years of service with 10 of those years as Secretary, Mr. Alan Estes for 12 years of service with 2 of those years as Treasurer and Mr. Carl Ruda for 6 years of service to the board of directors with 6 years as the Goodwill Fund Director. President DeKay thanked Mr. Chohon, Mr. Heiser, Mr. Estes and Mr. Ruda for their dedicated service to the cooperative.

Annual Meeting Summary 2012

The 64th Annual Meeting Of The Members Of Niobrara Valley E.M.C. Held March 5, 2012

The Sixty-Fourth Annual Meeting of the Niobrara Valley Electric Membership Corporation was held at the Knights of Columbus Hall in O’Neill, Nebraska on March 5, 2012. Present at the meeting were 109 members, 17 members represented by proxy and 38 guests.

Directors, retired directors and employees, and special guests were introduced. The board officers gave their reports.

President DeKay then presented a plaque to Mr. Brad Purviance for 12 years of service, with 6 of those years as Vice President, and to Mr. Jerry Homolka for 12 years of service to the Board of Directors. Both directors are leaving the board due to their terms expiring. President DeKay thanked Mr. Purviance and Mr. Homolka for their dedicated service to the cooperative.

General Manager, John Hoke gave the yearly report on the Cooperative.

There was no old business brought before the meeting.

There was no new business brought before the meeting.

The Sixty-Third Annual Meeting of the Niobrara Valley Electric Membership Corporation was held at the Knights of Columbus Hall in O’Neill, Nebraska on March 7, 2011. Present at the meeting were 103 members, 22 members represented by proxy and 25 guests.

Directors, retired directors and employees, and special guests were introduced. The board officers gave their reports.

President DeKay then presented a plaque to Mr. David Nichols for 12 years of service to the Board of Directors. Mr. Nichols is leaving the board due his term expiring. President DeKay thanked Mr. Nichols for his 12 years of dedicated service which included 10 years as Board Treasurer.

General Manager, John Hoke gave the yearly report on the Cooperative.

Two director terms were up for election. The results of the director election were reported to the meeting as follows:

The Sixty-Second Annual Meeting of the Niobrara Valley Electric Membership Corporation was held at the Knights of Columbus Hall in O’Neill, Nebraska on March 1, 2010. Present at the meeting were 170 members, 45 members represented by proxy and 39 guests.

Directors, retired directors and employees, and special guests were introduced. The board officers gave their reports.

General Manager, John Hoke gave the yearly report on the Cooperative.

Four director terms were up for election. The results of the director election were reported to the meeting as follows:

District #2 – Spencer Area Carl Ruda – 147 Jason Goesch – 62

New business brought before the meeting was the proposed motion from the floor during last year’s annual meeting to extend Mr. Barry DeKay’s eligibility to run for another term to allow him to fulfill the Presidential seat on the statewide association. Vice President, Mr. Brad Purviance, conducted the meeting during the discussion of the proposed amendment. Mr. Purviance requested a motion to vote on the proposed amendment. The motion was made by Rayder Swanson and seconded by Wayne Wendt. Mr. Purviance then opened the floor for discussion on the amendment. Several members addressed the meeting and expressed both the pros and cons of the proposed change. At the conclusion of the member comments, voting proceeded. The results of the by-law amendment were as follows:
For: -162 Against: 46

The 61st Annual Meeting Of The Members Of Niobrara Valley E.M.C. Held March 2, 2009

The Sixtieth Annual Meeting of the Niobrara Valley Electric Membership Corporation was held at the Knights of Columbus Hall in O’Neill, Nebraska on March 3, 2008. Present at the meeting were 124 members, 22 members represented by proxy and 41 guests.

A few words were given by Mr. John Hoke in recognition of Director Garry Lewis who passed away suddenly in 2008. A moment of silence was observed in honor of Mr. Lewis and his service to the cooperative.

Under other new business, Mr. Rayder Swanson addressed the membership regarding a term limitation issue. Board President, Mr. Barry DeKay is currently the Vice President of the statewide association, Nebraska Rural Electric Association (NREA). Mr. DeKay will become President of the NREA in December 2009, but will be unable to complete the full term of this office due to the term limitation of the Niobrara Valley Electric’s by-laws. Mr. Swanson requested a by-law amendment be brought before the membership at next year’s meeting to extend Mr. DeKay’s eligibility to run for another entire term to allow him to fulfill the Presidential seat on the statewide association. Mr. Swanson requested a full 3-year term so the election rotation of the board would not be disrupted. This is a one time extension solely for Mr. DeKay. If the situation would arise again, a new exception would have to be proposed and voted on by the membership at that time. Attorney, Forrest Peetz addressed the request and stated that a by-law amendment would be required with notice given to the entire membership and voted upon at the 2010 annual meeting.

Under old business, Ms. Corral Angel addressed the minutes of the 2008 minutes concerning a poll of the membership regarding the time of day the annual meeting is held. Ms. Angel asked when the poll was going to be conducted. Mr. Hoke responded to the question stating he had researched the cost of performing a scientific poll of the membership. It was the consensus of the management and the board that the high cost of performing a scientific poll outweighed the benefit and was not in the best interest of the cooperative. Mr. Hoke suggested the possibility of going to mail-in ballots to provide the opportunity for more of the membership to be represented and sought suggestions or thoughts from the membership present. A brief discussion followed on the cost and methods of mail-in ballots.

The Sixtieth Annual Meeting of the Niobrara Valley Electric Membership Corporation was held at the Knights of Columbus Hall in O’Neill, Nebraska on March 3, 2008. Present at the meeting were 133 members, 34 members represented by proxy and 34 guests. Special guests were introduced and the officers gave their reports.

General Manager, John Hoke gave the yearly report on the Cooperative.

The motion from the floor during last year’s annual meeting to remove the term limitation for directors was explained by Mr. Forrest Peetz. A motion was then made and seconded to change the by-laws in accordance with last year’s motion from the floor. Mr. Peetz then opened the floor for discussion on the issue. Several members addressed the meeting and expressed both the pros and cons of the proposed change. At the conclusion of the member comments, voting proceeded. The results of the by-law amendment change were as follows:
